Last Updated: January 2026
- Corporate Form Filing is a private service and is not affiliated with any government agency.
- You may file directly with the state for only the state filing fee.
- You are responsible for confirming the accuracy of all information submitted.
- Most disputes are resolved by individual arbitration (no class actions), unless you opt out.
Please read these Terms of Service carefully. These Terms govern your access to and use of Corporate Form Filing's websites, pages, subdomains, and related services.
1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of Corporate Form Filing's websites, pages, subdomains, and related services (collectively, the "Site") and our document preparation and filing assistance services (the "Services"). By using the Site or Services, you agree to these Terms and our Privacy Policy (incorporated by reference). If you do not agree, do not use the Services.
You represent that you are at least 18 years old and have authority to enter into these Terms.
2. Important Notice About Dispute Resolution
PLEASE READ THIS SECTION CAREFULLY. These Terms include a binding arbitration agreement and a class action waiver. Arbitration is different from court and limits your right to a judge or jury, unless you opt out as described below.
3. Who We Are (and Are Not)
Corporate Form Filing is a private document preparation and filing assistance service. We are not a government agency and are not affiliated with, endorsed by, or sponsored by any federal, state, or local governmental entity (including any Secretary of State office).
We are not a law firm and do not provide legal advice, tax advice, or financial advice. No attorney-client relationship is formed by use of the Site or Services.
4. Description of Services
Corporate Form Filing provides document preparation and filing assistance for corporate compliance and related filings, which may include annual reports, amendments, reinstatements, and other submissions.
We do not guarantee that any filing will be accepted or processed by any government agency. Agencies may reject filings for reasons outside our control, including eligibility, fees, formatting requirements, record mismatches, or deadlines.
5. Your Responsibilities; Accuracy
You agree that you are solely responsible for:
- providing accurate, complete, and current information;
- reviewing and confirming all information before submission;
- ensuring you are authorized to act for the entity; and
- meeting all applicable deadlines.
We may identify obvious formatting issues, but we do not verify the accuracy or legal sufficiency of the information you provide.
6. Authorization to File; Electronic Signatures
By placing an order or submitting information through the Site, you represent and warrant that you are an authorized officer, manager, member, partner, owner, or duly authorized agent of the entity (or have express permission to act on its behalf).
You authorize Corporate Form Filing and its service providers to prepare, transmit, submit, and file documents using the information you provide, including applying an electronic signature or electronic authorization where required or permitted to carry out your requested filing.
If you need to revoke authorization, contact info@corporateformfiling.com immediately. Revocation may not be possible once submission begins or completes.
7. Public Records Notice
Many business filings become public records once submitted to a government agency and may be searchable and accessible to the public. You acknowledge and accept this when using the Services.
8. Fees, Payments, and Taxes
Our service fees are displayed before you pay. Government or state fees are separate and may be collected to remit on your behalf or paid directly by you.
Payments are processed through third-party payment processors (e.g., Stripe). We do not store full payment card numbers.
You authorize charges for the total amount presented at checkout, including applicable taxes and pass-through government fees where applicable.
9. Refund Policy
Refunds are handled as follows:
Before Submission: If your filing has not been submitted, you may request a refund of our service fee.
After Submission: Once submitted, our service fee is non-refundable. Government/state fees are also non-refundable.
Correction of Our Error: If rejected due to our formatting or processing error, we will correct and resubmit at no additional service charge.
We are not responsible for rejections caused by incorrect or incomplete information provided by you, or for delays caused by government agencies.
10. Chargebacks and Payment Disputes
Before initiating a chargeback, you agree to contact us at info@corporateformfiling.com and allow a reasonable opportunity to investigate and resolve the issue.
If you initiate a chargeback or payment dispute, you authorize Corporate Form Filing to provide relevant transaction and usage records to the payment processor, which may include order details, acceptance of Terms, authorized signer selection, timestamps, IP address, and submission status.
11. Prohibited Uses
You may not:
- use automated tools (bots, scrapers, spiders) to access the Site without permission;
- reverse engineer or circumvent security features;
- submit unlawful, fraudulent, or misleading information;
- impersonate others or misrepresent your authority;
- use the Site for competitive analysis, benchmarking, or to build competing services.
We may suspend or terminate access for violations or suspected fraud.
12. Third-Party Services
We rely on third parties for infrastructure and processing. We are not responsible for third-party outages or failures outside our reasonable control.
13. Intellectual Property
All Site content, software, templates, designs, and branding are owned by Corporate Form Filing or its licensors. You may not copy, reproduce, distribute, or create derivative works without written permission.
14. Disclaimers
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORPORATE FORM FILING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant uninterrupted operation, error-free service, or acceptance of filings by any agency.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORPORATE FORM FILING WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE/DATA.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO A SPECIFIC TRANSACTION WILL NOT EXCEED THE AMOUNT YOU PAID CORPORATE FORM FILING FOR THAT TRANSACTION.
16. Indemnification
You agree to indemnify and hold harmless Corporate Form Filing and its owners, officers, directors, employees, contractors, and agents from any claims, losses, penalties, damages, and expenses (including reasonable attorneys' fees) arising out of: (a) information you provided, (b) your lack of authority, (c) your misuse of the Site, or (d) your violation of these Terms or applicable law.
17. Arbitration Agreement; Class Action Waiver
Agreement to Arbitrate. Except as noted below, any dispute arising out of or relating to these Terms, the Site, or Services will be resolved by binding arbitration rather than in court.
Exceptions. Either party may: (i) bring an eligible claim in small claims court on an individual basis; and (ii) seek injunctive relief in court for misuse or infringement of intellectual property rights.
No Class Actions. Disputes must be brought only on an individual basis. No class, collective, or representative proceedings are permitted.
Location / Format. Arbitration will take place in the county where you reside, or by remote video proceeding if available and agreed by the parties, unless the parties agree otherwise.
Rules / Provider. Arbitration will be administered by the American Arbitration Association (AAA) (or a comparable provider) under its applicable rules.
Opt-Out. You may opt out of arbitration by emailing info@corporateformfiling.com within 30 days of your first use of the Services with: (a) your name, (b) the email used for the transaction, and (c) a clear statement that you are opting out of arbitration. If you opt out, the remainder of these Terms remain in effect.
18. Governing Law; Court Venue Where Allowed
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. If a dispute is permitted to proceed in court (for example, if arbitration is unenforceable), you agree to exclusive jurisdiction and venue in the state or federal courts located in Delaware.
19. Changes to Terms
We may update these Terms from time to time. Updates are effective when posted. Continued use of the Site or Services after changes means you accept the updated Terms.
